Terms of service.
These are Rollcall's terms for employers — the companies that post roles and hire from backed shortlists. Candidates and Backers are covered by their own separate agreements. In plain terms: posting is free, you pay only when you hire, and you stay responsible for every hiring decision.
About us.
Legal entity. Rollcall is operated by Rollcall Corporation, a Delaware corporation ("Rollcall," "we," "us").
Contact. Legal notices and questions go to legal@rollcall.work.
Brand. "Rollcall" is our operating brand and the brand of the Platform at rollcall.work and its subdomains.
Who these terms apply to.
These Terms apply to Employers using the Platform to hire for their own roles. Candidates and Backers are governed by separate terms (the Candidate Terms and the Backer Agreement, respectively). You are responsible for your own use of the Platform and for all activity under your account.
Eligibility.
The Platform is intended solely for use by businesses and by individuals who are at least 18 years old. You must be at least 18 to create an account, post or manage roles, be put forward or vouched for as a Candidate, or act as a Backer. By using the Platform, you confirm that you are at least 18 years old and, if you are using the Platform on behalf of an organization, that you are authorized to do so. We do not knowingly permit anyone under 18 to use the Platform or knowingly collect personal information from anyone under 18. If we learn that a user is under 18, we may suspend or remove their account and delete associated personal information.
Nature of the service.
Rollcall verifies people and makes introductions. It does not score candidates or decide who to hire — you do.
Rollcall is a verification and introduction platform. Rollcall helps Employers identify and connect with Candidates who are put forward and vouched for by real people ("Backers"). Rollcall verifies the identity of Backers and Candidates and the existence and content of Backings, and presents Employers with a short list of introduced Candidates together with information about who is vouching for them.
What Rollcall does not do. Rollcall does not assemble, generate, or furnish character, performance, or suitability scores, grades, ratings, or assessments of Candidates, and does not make hiring decisions or recommendations as to whether any Candidate should be hired. Any ordering or surfacing of introduced Candidates reflects the strength and verification of human Backings and Candidate-supplied information, not an evaluation by Rollcall of a Candidate's fitness, character, or future performance. The Employer is solely responsible for evaluating Candidates and for all hiring decisions.
Human decision-making. The Platform is a sourcing and introduction tool only. You must apply your own independent human judgment to every hiring decision and must not treat any output of the Platform as a recommendation to hire or not hire any person.
How Rollcall works.
Posting a role. You create an account and post a role, describing the position, team, and what you are looking for. Posting a role is free. You set the Success Fee Rate for the role at or above the applicable minimum (see Section 5) before the role is published.
Backings and introductions. Backers put forward Candidates and provide structured Backings. Rollcall verifies identities and Backings and makes the resulting shortlist available to you. An Introduction occurs when Rollcall makes a Candidate's information available to you through the Platform in any form.
Unlocking. Depending on your plan and the role, you may see a shortlist and pay an Unlock Fee to reveal full Candidate names and contact details (see Section 5).
What we verify. Rollcall verifies the identity of Backers through our payment and identity-verification provider (Stripe) as part of Backer onboarding. Candidates may, at their option, complete a background check provided through a third-party screening provider (Certn); where a Candidate opts in, the results are made available in accordance with applicable law. Except for the foregoing, Rollcall does not perform background checks, reference checks, criminal-history checks, credit checks, employment-eligibility or work-authorization verification, or credential or qualification verification, and has no obligation to do so. You are solely responsible for conducting any further checks you consider necessary before engaging a Candidate, and for your own compliance with all applicable laws governing the use of background-check and screening information (including the federal Fair Credit Reporting Act and California law), including providing any required candidate disclosures, authorizations, and adverse-action notices.
Provided "as is." The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Rollcall disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranty that the Platform will produce any particular hiring outcome. Availability may be affected by factors beyond our reasonable control.
No warranty as to Candidate information. Rollcall does not represent or warrant the accuracy, completeness, or reliability of any information provided by Candidates or Backers. You are responsible for all decisions and actions taken in reliance on information made available through the Platform.
Fees.
Posting is free. Pay-as-you-go means an Unlock Fee plus a Success Fee only when you hire. Unlocked is $699/month per company with no Unlock Fees. A Success Fee is always due on a hire.
Rollcall offers two plans:
- Pay-as-you-go. No monthly fee. You pay Unlock Fees (where applicable) and a Success Fee only when you hire.
- Unlocked (subscription). A recurring fee of $699 per month, billed monthly on an auto-renewing basis with no minimum term (you may cancel at any time, effective at the end of the then-current monthly period). The fee is per company (covering your whole organization, not per seat) and includes unlimited shortlist unlocks at no Unlock Fee. A Success Fee remains payable on each hire. If you cancel, any roles already in progress continue to completion under the terms in effect when they were posted.
On the Pay-as-you-go plan, Unlock Fees are charged per role and are non-refundable and not credited against any Success Fee. Roles with a first-year base salary below $65,000 cost $99 to unlock; roles with a first-year base salary of $65,000 or more cost $199 to unlock the full role. On the Unlocked plan, no Unlock Fee applies. For all purposes in these Terms, "below $65,000" means a first-year base salary strictly less than $65,000, and "$65,000 or more" means $65,000 or above.
If Rollcall makes an Introduction and you (or an Affiliate) Engage that Candidate within twelve (12) months of the Introduction, you will pay Rollcall a Success Fee, calculated as the applicable Success Fee Rate multiplied by the Candidate's first-year base salary (for employees) or as set out in Section 5.6 (for contractors).
Minimum Success Fee Rates. You set the Success Fee Rate for each role when you post it, at or above the following minimums:
- (a) Pay-as-you-go: minimum 0.4% of first-year base salary for roles under $65,000; minimum 1.0% for roles of $65,000 or more.
- (b) Unlocked (subscription): minimum 0.4% of first-year base salary for roles under $65,000; minimum 0.8% for roles of $65,000 or more.
Electing a higher Rate. You may elect a Success Fee Rate higher than the applicable minimum for any role (for example, to attract more Backers). The Rate you set when the role is published applies to any resulting hire.
The Success Fee is invoiced in two installments: twenty-five percent (25%) of the Success Fee upon the Candidate's acceptance of an offer, and the remaining seventy-five percent (75%) once the Candidate has remained in the Engagement for ninety (90) days. For clarity, the percentages in this Section describe how the single Success Fee is split across two invoices; they are not themselves the Success Fee Rate.
Invoices are payable within 14 days of the invoice date, in US dollars. Late amounts accrue interest at 1.5% per month, or the maximum permitted by California law, whichever is lower, from the due date until paid. We may suspend access and pursue reasonable costs of collection for amounts overdue by 90 days. Fees are exclusive of applicable taxes, which you are responsible for.
If you Engage a Candidate other than as an employee (for example, as a contractor), the Success Fee is the applicable Success Fee Rate applied to the total fees payable to the Candidate (or any intermediary) over the Engagement, including renewals, up to a maximum of twelve (12) months. If the Candidate converts to an employee within twelve (12) months of the Engagement commencing, an employee Success Fee becomes payable, less amounts already paid. You agree to provide timesheets or invoices needed to calculate contractor Success Fees, and we may invoice on a reasonable estimate if you do not.
Refund guarantee.
If an employee you hire leaves within their first 90 days, we refund the Success Fee in full. Unlock Fees are not refundable.
If a Candidate you Engage as an employee leaves the Engagement — whether by resignation (other than resignation arising from the Employer's misconduct or breach) or by dismissal related to the Candidate's performance or conduct — within the first ninety (90) days of their start date, Rollcall will provide a full refund of the Success Fee actually paid.
Scope of refund. The refund covers the Success Fee only. On the Pay-as-you-go plan, Unlock Fees are non-refundable and are excluded from the refund. On the Unlocked plan, no Unlock Fee applies.
How to claim. You must notify us in writing within 14 days of the Candidate's departure. Refunds are processed to the original payment method within 30 days of a valid claim. The guarantee applies to each qualifying hire, including repeat hires.
Exclusions. No refund applies where the departure results from redundancy, role elimination, restructuring, or any cause unrelated to the Candidate; where the Success Fee has not been paid in full; or where the Engagement arises from a breach of these Terms (including Section 9).
Attribution & pre-existing candidates.
Attribution window. A Success Fee is payable if you (or an Affiliate) Engage an Introduced Candidate within twelve (12) months of the Introduction, regardless of the role, team, or function for which they are engaged, and regardless of whether they were previously rejected, not progressed, or considered unsuccessful for any role.
Pre-existing Candidate exception. No Success Fee is due if the Candidate was already in your active recruitment pipeline before the Introduction. "Active recruitment pipeline" means substantive engagement in the six (6) months before the Introduction, evidenced by either:
- (a) a direct application from the Candidate to you for a similar role; or
- (b) substantive, two-way communication between you and the Candidate about a potential role with your organization.
Internal notes, database records, passive sourcing, speculative outreach, or one-way messages that did not receive a substantive response do not constitute an active recruitment pipeline.
How to claim the exception. You must notify us in writing within ten (10) business days of the Introduction and provide reasonable written evidence. If you do not, the Introduction is deemed the effective cause of the Engagement and the Success Fee is payable in full.
Your obligations.
Disclose Engagements. You must promptly notify us if you or an Affiliate make an offer to, or Engage, an Introduced Candidate within the attribution window — including offers later withdrawn — and disclose the Candidate's first-year base salary (for employees) or total contractor fees (for non-employees). If you do not provide complete and accurate compensation details, we may invoice on a reasonable estimate, which is binding unless shown to be manifestly incorrect.
Accurate information. Information you provide must be accurate, current, and not misleading, including about hires made, compensation, and Engagement extensions.
Age. You represent that you, and each individual you authorize to use the Platform on your behalf, are at least 18 years old.
Lawful, respectful use. You must comply with all applicable laws in your use of the Platform and your hiring, including anti-discrimination, employment, privacy, and data-protection laws. You must not use the Platform unlawfully, post roles you are not genuinely seeking to fill, or behave abusively toward Candidates, Backers, or others.
No scraping or interference. You must not scrape, harvest, reverse engineer, interfere with, or attempt to derive non-public information from the Platform, or introduce malicious code.
End-employer use by default; recruiters under separate terms. By default, the Platform is for end employers hiring for their own internal roles, and you must not use it as a staffing agency, recruiter, or intermediary acting for third parties. Recruiters, staffing firms, and agencies may use the Platform only under, and subject to, a separate recruiter/agency arrangement with Rollcall (the "Recruiter Channel"). Embedded recruiters and RPO providers acting for a single client may register using an email address on that client's domain and use the Platform solely to hire for that client's internal roles. Except via the Recruiter Channel or that embedded-recruiter exception, you may not source, assess, or introduce Candidates for third parties or for external talent pools.
No competitive use. You must not use the Platform to build or assist a competing product, or for competitive benchmarking.
Account security. Keep your login credentials confidential and notify us promptly of any suspected unauthorized use.
Responsibility for hiring decisions. You are solely responsible for every decision to Engage a Candidate, and must apply qualified human review. The Platform does not provide hiring recommendations (see Section 3).
Backers & anti-circumvention.
Backers are the real people who put Candidates forward and vouch for them. Backers are independently governed by the Backer Agreement and are paid by Rollcall, not by you. In connection with Backers, you agree to the following.
No direct dealing with Backers. You must not pay, offer to pay, solicit, engage, or contract any Backer directly (or through any intermediary) in connection with a Candidate or Backing, and must not contact a Backer outside the Platform's processes, in each case for the purpose of avoiding fees due to Rollcall or diverting the relationship off-Platform.
Confidentiality of Backer identities. Backer identities and Backings are confidential and are provided for your internal hiring use only. You must not disclose, share, or forward them to any third party.
No third-party introductions. Introductions are confidential and for your internal hiring only. If you disclose a Candidate's details to a third party and that results in the Candidate being Engaged by a third party within twelve (12) months of the Introduction, you are liable for the applicable Success Fee as if you had Engaged the Candidate directly, and no refund or offset applies.
Anti-circumvention. You must not, and must ensure your Affiliates do not, directly or indirectly circumvent these Terms to avoid fees. If you, an Affiliate, or a related party Engages an Introduced Candidate within twelve (12) months of the Introduction — whether through the Platform or not — the applicable Success Fee is payable as if Engaged directly, and no refund applies to an Engagement arising from a breach of this Section.
Backer terms.
The following terms are intended to govern Backers. They are reproduced here for completeness and are presented to, and accepted by, each Backer directly.
- Who can be a Backer. A Backer must be a real, identity-verified individual vouching from genuine professional knowledge of the Candidate. Backers must not vouch for people they do not actually know, or in exchange for any payment or benefit from the Candidate or Employer.
- Honest, structured Backings. Backers must answer the structured questions honestly and may not include knowingly false, misleading, defamatory, or discriminatory statements. Backings are about professional experience, not protected characteristics.
- Backer payment. Rollcall pays the Backer a share of the Success Fee. Before putting a Candidate forward, the Backer is shown the dollar amount they may earn for a successful hire (a dollar figure, not a percentage). The Backer's share is generally between 40% and 50% of the Success Fee, and may differ for roles with custom or enterprise pricing. Where an Employer elects a Success Fee Rate above the applicable minimum, the additional amount is shared between Rollcall and the Backer. The Backer is paid by Rollcall and has no claim to payment from the Employer.
- Paid only on amounts collected. A Backer is paid only on Success Fee amounts actually collected by Rollcall. Because the Success Fee is billed in two installments (25% on offer acceptance, 75% at day 90) and refunded in full if a hire leaves within 90 days, a Success Fee that is refunded, reversed, or never collected carries no corresponding Backer payment. Where a Backer has been paid on an amount that is later refunded or reversed, Rollcall may recover or offset that payment against future amounts owed to the Backer.
- Backer status and tax. Backers act as independent individuals, not employees or agents of Rollcall, and are responsible for their own taxes.
- Conduct and removal. Rollcall may withhold payment, remove Backings, and suspend or remove Backers who provide false Backings, attempt to game payouts, or breach these terms.
Subprocessors & AI providers.
We use third parties, including providers of AI models and infrastructure, to operate the Platform, and may share information with them as needed to provide the service. When using the Platform you agree to comply with the applicable use policies of those providers as we notify them to you.
Changes to the platform & these terms.
We may modify the Platform and these Terms from time to time. For material changes affecting your rights or obligations, we will give reasonable notice (for example, by posting an updated version and/or notifying you). Continued use after changes take effect constitutes acceptance. We may discontinue the Platform; discontinuation does not affect accrued rights or obligations.
Intellectual property.
Ownership. Rollcall and its licensors own all intellectual property rights in the Platform. We grant you a non-exclusive, non-transferable, revocable license to use the Platform solely in accordance with these Terms.
Your information. We do not claim ownership of information you provide. You grant us a license to store and use it to provide and improve the Platform, including to train and improve our models and systems on an anonymized and aggregated basis only, subject to our confidentiality obligations and applicable law. We will not use your information to train models in a way that identifies you or your Candidates.
Feedback. We may use feedback you provide to improve the Platform without obligation to you.
Confidentiality.
Each party will protect the other's confidential information with reasonable care, use it only for the purposes of the relationship, and not disclose it except to representatives on a need-to-know basis or as required by law. We may disclose your confidential information as needed to operate the Platform and make Introductions.
Data protection & privacy.
Our Privacy Policy describes how we handle personal information, and our Data Processing Addendum / Data Sharing terms govern personal information shared in connection with Introductions. By using the Platform you agree to those terms, which form part of these Terms. As between you and Rollcall, you are responsible for your lawful use of Candidate personal information after an Introduction, including providing any candidate notices and honoring any rights required by applicable law (for example, under the CCPA/CPRA and California FEHA).
Indemnity.
You will indemnify and hold harmless Rollcall and its officers, directors, employees, and agents from and against any third-party claims, and any resulting liabilities, losses, damages, costs, fines, and reasonable attorneys' fees, arising out of or relating to your use of the Platform, your hiring decisions and Engagements, your handling of Candidate or Backer information, or your breach of these Terms or of applicable law.
Limitation of liability.
Cap. To the fullest extent permitted by law, Rollcall's total aggregate liability for all claims arising out of or relating to the Platform or these Terms is limited to the total fees you paid to Rollcall in the twelve (12) months preceding the event giving rise to the claim, even if Rollcall has been negligent.
Excluded losses. Rollcall is not liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of business, profits, data, or opportunity, even if advised of the possibility.
Carve-outs. Nothing in these Terms limits liability that cannot be limited by law, including for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence.
Term & termination.
We may suspend or terminate your access if you breach these Terms, including for non-payment, until the breach is cured. You may stop using the Platform at any time, but termination does not affect accrued rights or obligations, including Success Fees arising from Introductions made before termination. The following Sections survive termination: 5 (Fees, as to accrued amounts), 6 (Refund Guarantee, as to qualifying hires), 7 (Attribution), 9 (Backers and Anti-Circumvention), 12 (Intellectual Property), 13 (Confidentiality), 14 (Data Protection), 15 (Indemnity), 16 (Limitation of Liability), 19 (Governing Law and Dispute Resolution), and 20 (Definitions).
General.
Assignment. Rollcall may assign these Terms (for example, to an affiliate or an acquirer) without your consent. You may not assign without our prior written consent.
Entire agreement. These Terms (with the Privacy Policy, Data Sharing/Processing terms, and any plan order) are the entire agreement and supersede prior agreements on this subject. Marketing materials, videos, and explainers do not form part of these Terms. Interactions with the Platform do not create any contractual obligation beyond these Terms.
No third-party beneficiaries. Only you and Rollcall are parties to these Terms.
No waiver; severability. A delay in enforcing these Terms is not a waiver. If any provision is held unenforceable, the rest remain in effect.
Governing law & disputes.
Governing law. These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules.
Binding arbitration. Any dispute arising out of or relating to these Terms or the Platform will be resolved by final and binding arbitration administered by a recognized arbitration administrator under its applicable rules, seated in San Francisco, California. Judgment on the award may be entered in any court of competent jurisdiction. Either party may seek injunctive or other equitable relief in the state or federal courts located in San Francisco, California for matters relating to intellectual property or unauthorized use of the Platform.
Class-action and jury-trial waiver. Disputes will be conducted only on an individual basis and not as a class, collective, consolidated, or representative action. To the extent permitted by law, each party waives any right to a jury trial.
