This is Rollcall’s agreement for backers — the people who put candidates forward, vouch for them, and are paid by Rollcall when a hire is made. Employers and Candidates are covered by their own separate agreements.

This Backer Agreement ("Agreement") governs you when you put a candidate forward and vouch for them on Rollcall (when you act as a "Backer"). By creating a Backer account or submitting a Backing, you agree to this Agreement. Please read Section 4 (How You Get Paid), Section 5 (Your Status and Taxes), and Section 7 (Investigations and Remedies) carefully.

What backing is.

As a Backer, you put forward a candidate you know and provide a "Backing" — structured input vouching for them. Rollcall verifies identities and makes introductions to employers ("Employers"). Your Backing is part of the human signal Rollcall relies on. The strength or weighting given to a Backing may reflect the nature and depth of your connection to the candidate (for example, first-hand professional knowledge tends to carry more weight). This reflects the strength of the vouch. It is not a judgment by Rollcall about the candidate.

Eligibility.

You must be at least 18 years old to be a Backer, and you confirm you are. You must complete identity verification (KYC) through our payment and verification provider (currently Stripe) and have a valid payout account before you can earn any payment. We do not knowingly permit anyone under 18 to act as a Backer.

Backing honestly.

You may back someone you genuinely know, based on real knowledge of them. You may have different kinds of connection to a candidate, but the connection must be real and your Backing must be honest. You must not:

  • vouch for someone you do not actually know, or invent or exaggerate a connection;
  • back yourself or an immediate family member;
  • include knowingly false, misleading, defamatory, or discriminatory statements; Backings should address professional experience, not protected characteristics;
  • share confidential information you are not permitted to disclose (for example, information owed in confidence to a current or former employer);
  • back a candidate where you have an undisclosed conflict of interest; or
  • accept any payment or benefit from the candidate or the Employer in exchange for a Backing. Your only compensation for a Backing comes from Rollcall under Section 4.

Consent. Where you put a candidate forward, the candidate must accept the referral before they are put forward for the role. The candidate can see that you backed them, but not the content of your Backing.

How you get paid.

IN SHORT

You earn a share of the Success Fee, generally 40 to 50%, shown to you as a dollar amount before you back anyone. You are paid only on what Rollcall actually collects.

Backer payment. If a candidate you back is hired and Rollcall is paid its Success Fee, you earn a share of that Success Fee. Before you put a candidate forward, you will be shown the dollar amount you may earn for a successful hire. (You are shown a dollar figure, not a percentage.)

Your share. Your share is generally between 40% and 50% of the Success Fee, and may differ for roles with custom or enterprise pricing. Where an Employer chooses to pay a higher rate to attract Backers, the additional amount is shared between Rollcall and you.

Paid only on what Rollcall collects. You are paid only on Success Fee amounts Rollcall actually collects. The Success Fee is billed to the Employer in two installments (25% on offer acceptance, 75% after the hire completes 90 days), and is refunded in full if the hire leaves within 90 days. As a result, if a Success Fee is refunded, reversed, or never collected, no corresponding payment is owed to you. If you were paid on an amount that is later refunded or reversed, we may recover it or offset it against future amounts owed to you.

Payouts. Payments are made through our payment provider (currently Stripe; we may add other methods such as PayPal in future). You must have completed KYC and have a valid payout account to receive funds.

Your status & taxes.

Independent contractor. You act as an independent individual. This Agreement does not make you an employee, agent, partner, or joint venturer of Rollcall, and does not entitle you to employee benefits. You control whether, when, and whom you back.

Taxes. You are responsible for your own taxes on any amounts you earn.

Confidentiality & data.

Candidate and Employer information you access through the Platform is confidential and may be used only to make Backings and introductions through the Platform. You must not misuse, disclose, or take that information off-Platform. Our handling of your personal information is described in the Privacy Policy.

Investigations & remedies.

If we reasonably suspect a Backing is false, that payouts are being gamed, or that this Agreement has been breached, we may investigate. Our response is situation-dependent and at our reasonable discretion. We reserve the right to:

  • investigate the matter and present our findings;
  • hold or pause payments, and pause your account, while we investigate;
  • depending on the outcome, suspend or remove your account, withhold or decline to pay disputed amounts, and where appropriate refund the affected Employer.

Outcomes vary by circumstance. We will act reasonably and in good faith, and the measures we take will depend on the facts.

No guarantee of earnings.

Backing someone does not guarantee they will be introduced, hired, or that you will earn anything. Earnings depend on whether a hire happens and whether Rollcall is paid.

“As is” & liability.

The Platform is provided "as is." To the fullest extent permitted by law, Rollcall disclaims implied warranties. Rollcall is not liable for indirect or consequential losses, and our aggregate liability to you is limited to the amounts paid or payable to you in the 12 months before the claim. Nothing limits liability that cannot be limited by law.

Changes & termination.

We may update this Agreement and will give reasonable notice of material changes. You may stop being a Backer at any time. Accrued, properly earned, and collected amounts owed to you survive termination, subject to Section 7. We may suspend or remove Backers who breach this Agreement.

Governing law & disputes.

This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws rules. If you have a dispute, contact us first at legal@rollcall.work so we can try to resolve it directly.

Definitions.

"Backing"

the structured input a Backer provides in support of a candidate.

"Candidate"

an individual put forward for a role through the Platform, who has consented to being put forward.

"Employer"

an organization using the Platform to hire.

"Success Fee"

the fee an Employer pays Rollcall on a hire, as set out in the Employer terms.

"Platform"

the Rollcall platform at rollcall.work and its subdomains and applications.
